Publisher Terms and Conditions

1. Agreement Overview

These Publisher Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("Publisher," "you," or "your") and Perkox ("we," "us," or "our"), governing your participation in the Perkox Publisher Program. By registering as a publisher, integrating our SDK, or displaying advertisements through our platform, you agree to be bound by these terms.

2. Eligibility Requirements

To participate as a publisher in our network, you must:

• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal authority to enter into this Agreement
• Own or have authorized control over the apps or websites where ads will be displayed
• Comply with all applicable laws and regulations
• Maintain apps or websites that meet our quality standards

3. Publisher Obligations

3.1 Content Requirements

Publishers must ensure their apps and websites:

• Do not contain illegal, infringing, or prohibited content
• Do not promote hate speech, violence, or discrimination
• Are free from malware, viruses, or deceptive practices
• Comply with applicable content rating guidelines (e.g., IARC, ESRB)
• Respect user privacy and data protection laws

3.2 Ad Implementation

When implementing Perkox ads, publishers must:

• Use only official Perkox SDKs and approved integration methods
• Display ads in appropriate contexts that do not mislead users
• Ensure proper ad viewability and avoid ad stacking or hidden ads
• Not modify, filter, or interfere with ad content or tracking
• Maintain the technical specifications required for ad serving

3.3 Prohibited Activities

Publishers are strictly prohibited from:

• Generating artificial impressions, clicks, or conversions (invalid traffic)
• Using bots, click farms, or automated systems to inflate metrics
• Encouraging or incentivizing users to click on ads
• Placing ads on pages with no content or primarily consisting of ads
• Implementing ads in apps or websites that violate our policies
• Reselling or sublicensing access to Perkox inventory without authorization

4. Payment Terms

4.1 Revenue Share

Publishers earn revenue based on a share of the advertising revenue generated through their inventory. The specific revenue share percentage is determined by your publisher tier, traffic quality, and other factors as outlined in your publisher dashboard or separate agreements.

4.2 Payment Schedule

Payments are processed on a net-30 basis (30 days after the end of the payment period), provided the minimum payment threshold is met. Publishers are responsible for maintaining accurate payment information in their account settings.

4.3 Payment Threshold

A minimum balance must be accrued before payment is issued. The current minimum threshold is specified in your account dashboard and may vary by payment method.

5. Account Suspension and Termination

Perkox reserves the right to suspend or terminate publisher accounts for:

• Violation of these Publisher Terms or any Perkox policy
• Engagement in fraudulent or invalid traffic activity
• Failure to maintain quality standards
• Extended periods of inactivity
• Any activity that may harm Perkox's reputation or business

Upon termination, all unused ad serving will cease immediately. Any pending payments may be withheld if violations are discovered.

6. Indemnification

Publishers agree to indemnify and hold harmless Perkox, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to: (a) your use of the Perkox platform; (b) your apps or websites; (c) your violation of this Agreement; or (d) your violation of any third-party rights.

7. Confidentiality

Publishers may receive confidential information about Perkox's business, technology, or operations. You agree to maintain the confidentiality of such information and not disclose it to third parties without prior written consent.

8. Intellectual Property

Perkox retains all rights to its SDK, platform, trademarks, and technology. Publishers are granted a limited, non-exclusive, revocable license to use these solely for the purpose of participating in the publisher program.

9. Disclaimer of Warranties

THE PERKOX PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR SECURE ACCESS TO OUR SERVICES.

10. Limitation of Liability

IN NO EVENT SHALL PERKOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of [Jurisdiction].

12. Modifications

Perkox reserves the right to modify these Publisher Terms at any time. Changes will be effective immediately upon posting to our website. Continued participation in the program after changes constitutes acceptance of the modified terms.
